Brainformative — AI Preceptor Labs Terms of Service Effective Date: July 19, 2026

1. About These Terms

These Terms of Service govern your registration for and participation in AI Preceptor Labs facilitated learning events operated by Brainformative ("Brainformative," "we," "us"). 

By submitting a seat reservation payment, you agree to these terms in full. If you are registering on behalf of your organization, you represent that you have the authority to bind yourself and your organization to these terms.

2. Pricing and Seat Reservation

Early-bird pricing:  The AI Preceptor Labs | Rotation 1 current valuation is $1,500. The first 100 wait list registrations receive a $300.00 discount. 

Wait List:  Between 8 and 24 participants is not false scarcity. This range represents the optimal number of engaged learners. For this reason, we will use a waitlist structure to manage and maximise participation. 

Your $400 payment places you on the AI Preceptor Labs waitlist.  When we achieve our thresholds, we will offer you access to scheduled cohort dates. This wait list deposit is NOT a full payment for the event.

Your remaining balance: The balance is due and payable when your cohort date is confirmed.

The confirmed balance amount and payment instructions will be communicated to you by email and your preferred messaging app: iMessage, RCS, or SMS.  Failure to pay the remaining balance by the stated deadline may result in forfeiture of your reserved seat deposit.

Early-bird pricing is applied at the time of balance payment. Availability is not guaranteed and is determined solely by Brainformative based on registration order.

3. Refund Policy

Wait List reservation:

Your $400 deposit is fully refundable within 72 hours of payment. After 72 hours, the deposit is non-refundable. Here is why: we put that capital to work to fill the AI Preceptor Lab fast and ensure a high-impact experience. 

Full balance refunds:

If circumstances arise where WE cancel a cohort date, we will first apply your balance to a rescheduled date. If you would prefer a refund, we will provide a balance refund within 15 days of the request.  Requests are made to: [email protected]

Early Cancelation:

If you cannot attend your selected cohort date and it is 10 days (or more) before your cohort date, contact us ASAP.

We will then have time to offer your seat to our pool of alternates. This will let us maximize the learning experience for your peers. We then give you the first selection on a new cohort date. 

Late Cancelation & No Shows:

(7 days or less) We understand that when the Joint Commission arrives, being absent is a real problem. Understanding our audience, we, in good faith, offer ONE rescheduling opportunity for a “no show” or a cancellation within 72 hours of your cohort date. Or if you prefer, we will provide a balance refund within 15 days of the request.

Late Arrival: We also know life happens. If circumstances will make you more than 30 minutes late to your cohort start time, let us work with you on a new cohort date. 

Here is why. 

There are no “previews” or “introductions,” or "icebreakers" and our facilitators will never say, “We’ll wait a few minutes to let people get here before we get started.”

These are working seats, and the learning starts on time and builds. The first 30 minutes are a crucial foundation for the “Aha!” moments to come. If you miss that time, there is no way to make it up.

This means you will not have the quality learning experience that we have designed, and asking your peers “What did I miss?” will degrade their learning.

For these reasons, we will not let you participate after 30 minutes. However, we will work with you to find a better date and time.  

Rescheduled No Show: If the late cancellation/No Show happens on the one rescheduled cohort date, there are no refunds.

4. Referral Program

Brainformative operates a referral program under which paid wait-list members can refer colleagues to AI Preceptor Labs facilitated learning events.

How it works: 

First, the 72-hour "buyer's remorse” wait list refund period has passed. 

Second, within the next 24 hours, you will receive a referral link. 

Third, forward it to as many people as possible, telling them the first one who joins the wait list gets the $100 discount.

(Applied to the remaining balance checkout.) 

Fourth, when your colleague registers using your referral link, you will receive a $100 credit toward your own remaining balance. (Applied at checkout.)

Important limitations:

Referral credits are applied to outstanding registration balances only. 

Your referral link only gives one bonus.

If your full balance has been paid prior to a successful referral, no credit or refund will be issued. 

Meaning: if Lisa gives Steve a referral link, but he delays registration, and Lisa's needs to move fast because her preferred cohort date is filling, Lisa will have to pay her final balance without the referral bonus. Even if Steve registers AFTER Lisa's payment she cannot recover the $100. 

Moral of the story: send the referral link to as many people as you can. Certainly someone will see the value and take action.

Referral credits have no cash value, are non-transferable, and cannot be applied to future rotations or other Brainformative products unless expressly stated.

Brainformative reserves the right to modify or discontinue the referral program at any time. Modifications will not affect referrals already completed before the modification date.

5. Pre-Work Requirments

Participation in AI Preceptor Labs requires completion of pre-work assignments starting approximately 7 days before your cohort date. Pre-work is estimated at 15 minutes or less per assignment.

Pre-work is not “busy work.”

Pre-work IS when the AI Preceptor Labs | Rotation 1 begins, which lays the foundation for the first 30 minutes on Rotation day.   

Pre-work completion is a condition of full participation in the live event. 

Brainformative reserves the right to limit participation in specific exercises for registrants who have not completed the required pre-work, without refund of amounts paid.

You will be asked to submit pre-work artifacts to a designated platform or location before the event. Submitted artifacts become part of the session record and may be used for facilitation purposes during the live event.

6. Recording, Transcription, and Photography

By registering for and attending an AI Preceptor Labs facilitated learning event, you expressly consent to the following:

The live session, including all presentations, group discussions, report-outs, and Q&A, will be video- and audio-recorded.

Table discussions will be transcribed using automated transcription technology. Transcripts are used for facilitation quality review, facilitator training, and program development purposes.

Session Artifacts and Group Work Product

Group work produced during AI Preceptor Labs events — including but not limited to wall charts, mind maps, sticky note arrays, whiteboard content, table worksheets, and report-out materials — is created in the context of a facilitated learning event and may be photographed, recorded, or otherwise documented by Brainformative.

By participating in an AI Preceptor Labs event, you grant Brainformative a perpetual, irrevocable, royalty-free, worldwide license to use, reproduce, display, and distribute photographs and recordings of group work artifacts for any business purpose, including internal quality review, facilitator training, research, and marketing. This license does not require attribution to individual participants and survives the conclusion of the event.

This license applies to group-produced artifacts only. Individual participant work product created on personal devices remains the property of the participant. Brainformative will not deliberately capture content displayed on participants' laptop or mobile device screens.

Participants should not include proprietary organizational information, protected health information, or confidential business data in any group artifact. Brainformative is not responsible for the content participants choose to include in group work products.

Recordings, transcripts, and photographs may be used by Brainformative for internal quality review, facilitator training, and marketing purposes, including but not limited to website content, social media, and promotional materials. If you have specific concerns about your likeness being used in marketing materials, notify Brainformative in writing at [email protected] before your cohort date.

7. Technical Prerequisites and Participation Standards

AI Preceptor Labs is designed for healthcare leaders who are novice AI users. It is not remedial computer skills training.

Minimum technical prerequisites

Participants must be able to independently and without assistance:

  • Log in and out of their own accounts

  • Create and edit text documents

  • Take and manage screenshots

  • Save and retrieve files from a specified folder location

  • Navigate a browser and copy and paste text

  • Navigate your LLM of choice to produce a conversation

These skills are a condition of participation. By completing your registration and submitting payment, you represent and warrant that you meet these prerequisites.

Prerequisite verification

If you are uncertain whether your technical skills are sufficient, Brainformative offers a pre-enrollment assessment. Create a Loom video demonstrating the skills you are uncertain about and submit it to [email protected]. Brainformative will provide an honest assessment before you complete registration.

Removal for prerequisite deficiency
If it becomes apparent during a live event that a participant lacks the technical prerequisites necessary to engage with session exercises, Brainformative reserves the right to ask that participant to step out of the session. This decision will be made at the sole discretion of the facilitator and is not subject to appeal during the event.

Removal for prerequisite deficiency does not constitute a Brainformative failure to deliver the program. Because prerequisites were clearly stated and affirmed at registration, removal for misrepresentation of skill level does not automatically entitle the participant to a refund.

Brainformative will contact any removed participant within 3 business days to discuss next steps, which may include placement in a future cohort, or at Brainformative's sole discretion, a partial or full refund.

Rationale
Every seat in a cohort represents a colleague who is prepared to do the work. A participant who requires remedial technical assistance during the session diverts facilitator and peer attention from the learning objectives the cohort came to achieve. This policy exists to protect the investment every participant has made — in time, attention, and enrollment cost.

8. Organizational Data Security — Participant Responsibility

AI Preceptor Labs exercises involve participants engaging directly with large language model AI tools using their own devices and accounts.

You are solely responsible for your compliance with your organization's data security, privacy, and compliance policies during all pre-work assignments and live session exercises.

Brainformative explicitly instructs all participants: do not enter protected health information (PHI), personally identifiable patient data, confidential personnel information, or any data that would constitute a violation of your organization's data security or compliance policies into any AI tool, platform, or shared document during Brainformative events or pre-work assignments.

Brainformative bears no responsibility or liability for any data exposure, compliance violation, or security incident arising from a participant's decision to enter organizational data into any AI platform or tool during or in connection with a Brainformative event. This limitation applies regardless of whether such entry occurred during a facilitated exercise, a demonstration, or independent participant exploration.

If you are uncertain whether specific data may be used in AI tools, consult your organization's compliance or information security team before the event.

9. Participant Conduct

Participants are expected to engage in good faith, respect the confidentiality of colleagues' organizational information shared during group exercises, and refrain from recording other participants without their consent.

Information shared by other participants during group exercises — including but not limited to organizational challenges, performance data, and strategic initiatives — is shared in a professional learning context and should be treated as confidential. Participants agree not to disclose, reproduce, or use information shared by colleagues outside of the session context.

10. Intellectual Property

All Brainformative curriculum materials, facilitation frameworks, exercises, and methodology documentation are the intellectual property of Brainformative and are protected by applicable copyright law. Participants receive a limited license to use materials for their own professional development. No materials may be reproduced, distributed, or used to deliver training to others without express written permission from Brainformative.

The Insight Design™ methodology is proprietary to Brainformative. Participation in an AI Preceptor Labs event does not confer any license to deliver, replicate, or represent Insight Design™ methodology to others.

11. Limitation of Liability

To the maximum extent permitted by applicable law, Brainformative's total liability to any participant for any claim arising from or related to an AI Preceptor Labs event shall not exceed the total amount paid by that participant to Brainformative.

Brainformative is not liable for any indirect, incidental, consequential, or punitive damages arising from participation in its events, use of AI tools during events, or reliance on any content presented during events.

12. Mobile Communications

Brainformative will communicate with registered participants via SMS, RCS, or iMessage for transactional purposes, including registration confirmation, cohort scheduling updates, pre-work reminders, and event logistics.

Mobile communications are sent only to participants who have provided express written consent at the time of registration. 

Consent to receive mobile communications is voluntary and separate from registration. Withholding consent will not affect your ability to register or participate — all communications will also be sent to your registered email address. 

To opt out of mobile communications at any time, reply STOP to any message from Brainformative. You will receive one confirmation message, and no further mobile communications will be sent.

Message frequency varies based on cohort activity.

In the interest of full disclosure, there will be a series of messages, including wait-list reservation confirmation, announcements of cohort date availability and final payment notices. During the 7-day pre-work period, participants may receive up to two messages per day. The day before and on the day of your cohort date, you will receive reminders.  

We respect your time, but want to maintain effective communication. It is our commitment to NOT abuse your trust with mobile messaging. 

Message and data rates may apply depending on your mobile carrier plan.

Brainformative will not sell, share, or transfer your mobile number to third parties for their own marketing purposes.

13. Changes To These Terms

Brainformative reserves the right to update these terms at any time. Material changes will be communicated to registered participants by email. Continued participation following notice of material changes constitutes acceptance of the updated terms.
